Terms of Service
Effective May 27, 2026
These Terms of Service ('Terms') form a binding agreement between you and NexVoice, Inc. ('NexVoice', 'we', 'us') governing your access to and use of the NexVoice platform, websites, dashboards, APIs, and related services (collectively, the 'Service'). By creating an account, clicking 'I agree', or using the Service you accept these Terms.
1. The Service
NexVoice is a software automation platform that helps appointment-based businesses respond to missed calls, send AI-assisted SMS replies, and book appointments. NexVoice is a software tool only — it is not a healthcare provider, medical practice, legal advisor, or emergency communication system.
2. Eligibility & accounts
You must be at least 18 years old and authorized to bind the business you represent. You are responsible for:
- Keeping your credentials secure and confidential.
- All activity, content, configuration, and outbound messages sent from your account.
- Ensuring the phone numbers, contact lists, and patient data you upload are lawfully collected.
3. Acceptable use
You agree not to use the Service for unlawful, harmful, deceptive, or abusive purposes. See our Acceptable Use Policy for the full rules. We may suspend or terminate accounts that violate them.
4. Plans, fees & taxes
Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except where required by law. You are responsible for applicable taxes. Usage above plan limits may be throttled, blocked, or charged as overages as described on the Pricing page or in your order.
5. Free trials
Free trials automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand in your dashboard. We do not provide retroactive refunds for forgetting to cancel.
6. Customer data & privacy
Our handling of personal data is described in the Privacy Policy. You retain ownership of your customer data and grant NexVoice a limited license to host, process, transmit, and display it to provide the Service. You are responsible for obtaining all required consents from your patients and contacts.
7. AI-generated content
The Service uses third-party large-language models to draft SMS replies and other content. AI output may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI-generated communications and configuring guardrails appropriate to your business. See the AI Limitations Disclaimer.
8. Third-party services
The Service depends on third parties including Twilio (telephony & SMS), OpenAI (AI generation), Stripe (payments), and infrastructure providers. Outages, delivery failures, rate limits, latency, or changes by those providers may interrupt the Service. We are not liable for any third-party failure.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. NEXVOICE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC MESSAGE WILL BE DELIVERED, READ, OR GENERATE A BOOKING OR REVENUE OUTCOME.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXVOICE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM; CLAIMS RELATING TO MISSED OR DELAYED CALLS, MISSED OR DELAYED SMS, AI HALLUCINATIONS, INCORRECT AUTOMATED RESPONSES, MISSED APPOINTMENTS, OR PATIENT MISUSE; OR ANY DAMAGES EXCEEDING THE FEES YOU PAID TO NEXVOICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted.
12. Indemnification
You will defend, indemnify, and hold NexVoice harmless from claims, losses, and expenses arising out of your use of the Service, your customer data, your messages to patients, your business operations, or your violation of these Terms or applicable law (including TCPA, telecom, healthcare privacy, and consumer protection laws).
13. Suspension & termination
We may suspend or terminate the Service for non-payment, suspected abuse, security risk, or breach of these Terms. You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period.
14. Dispute resolution & arbitration
Any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Rules. You and NexVoice each waive the right to a jury trial and to participate in any class, collective, or representative action. Either party may bring an individual claim in small-claims court.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Venue for any non-arbitrable disputes lies in the state and federal courts located in Delaware.
16. Changes
We may update these Terms from time to time. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
